Com novos sócios, Hidrovias do Brasil recebe investimento de US$ 300 milhões

A Hidrovias do Brasil, empresa de logística que atua no mercado interno e no exterior, anunciou na segunda-feira, 26, captação de US$ 300 milhões para ampliar os investimentos atuais, em especial no corredor norte, entre Miritituba e Vila do Conde, no Pará. Parte do dinheiro virá de novos sócios que passam a compor a base formada até agora pelo fundo P2 Brasil (Pátria e Grupo Promon), Temasek e Alberta Investment Management Company (Aimco).

Com a operação, Blackstone Tactical Opportunities, BNDESPar, International Finance Corporation (IFC), braço financeiro do Banco Mundial, e um produto gerenciado pelo P2, com capital de seis investidores internacionais, entram na composição acionista da Hidrovias do Brasil. Apesar da capitalização, o P2 continuará com o controle da empresa, com 54,7% de participação. Blackstone terá 11,3%; BNDESPar, 4,5%; e IFC, 3,4%. Os outros dois acionistas, Temasek e Aimco, reduziram sua fatia para 16,7% e 9,32%, respectivamente.

Segundo o sócio do Pátria Investimentos, Felipe Pinto, diretor de investimentos do P2 Brasil, a operação demorou quase oito meses para ser concluída. Apesar do baixo desempenho da economia brasileira e das perspectivas negativas para 2015, ele afirma que não houve dificuldade para convencer os investidores a colocar dinheiro na empresa. "O reflexo foi marginal, já que os grupos estavam olhando o potencial de crescimento dos projetos."

Ele explica que os investidores já fazem parte do ciclo de relacionamento do grupo e, portanto, conhecem a empresa e seu potencial. "A proposta gerou um interesse bastante relevante. Por isso, digo que a questão macroeconômica não nos afetou." Blackstone e o produto formado por investidores internacionais administrados pelo P2 foram os que aportaram maior valor na empresa. A fatia de cada um na captação é de US$ 100 milhões. O BNDESPar pôs US$ 40 milhões.

O fechamento do negócio ainda depende do atendimento de algumas condicionantes, mas a expectativa é que a operação esteja concluída entre fevereiro e março. Os recursos serão integralizados num período de três anos.

O presidente da Hidrovias do Brasil, Bruno Serapião, afirma que 80% do dinheiro captado serão investidos no corredor dos rios Tapajós-Amazonas, entre a cidade de Miritituba e o Porto de Vila do Conde, no Pará. A chamada saída pelo Norte virou o grande negócio das empresas de logística com o estrangulamento dos portos do Sul e Sudeste do País. Com os maiores produtores de grãos instalados no norte do Mato Grosso, a saída natural virou os portos do Norte.

A Hidrovias do Brasil está investindo R$ 1,4 bilhão no empreendimento, que deverá iniciar a operação no primeiro semestre do ano que vem e terá capacidade de 5 milhões de toneladas de grãos por ano.

O projeto inclui a construção e operação de um terminal de transbordo rodo-fluvial em Miritituba, navegação por aproximadamente 1,2 mil quilômetro pelos rios Tapajós e Amazonas e construção e operação de um terminal portuário em Vila do Conde. "Nessa primeira fase toda capacidade já está contratada", afirma Serapião. Segundo ele, o dinheiro captado agora será aplicado na segunda fase do projeto, previsto para ficar pronto entre 2018 e 2019. "A previsão é ampliar a capacidade atual entre 30% e 50%", afirma o executivo.

Além da infraestrutura dos terminais, o projeto requer a compra de frotas de barcaças e empurradores (máquinas que movimentam as barcaças pelos rios). Na primeira fase, serão entre 100 e 150 barcaças e entre 5 e 7 empurradores, todos comprados no mercado interno. A primeira empresa a operar o corredor norte, pelos rios Tapajós e Amazonas, foi a Bunge, que estreou no ano passado a nova rota de exportação. Outras companhias como Cargill, Cianport e Odebrecht, entre outros, também desenvolvem projetos na região.

O dinheiro da captação anunciada ontem também deverá ser investido na expansão do corredor Sul da companhia. O projeto, em operação desde fevereiro de 2014, consiste no transporte fluvial de grãos entre Assunção, no Paraguai, e os portos da Argentina ou Uruguai, num percurso de cerca de 1.500 quilômetros.

Atualmente, a frota é composta por 3 empurradores e 36 barcaças Mississippi, adquiridas nos Estados Unidos. A capacidade atual da companhia nessa rota é de 700 mil toneladas de grãos por ano, mas a expectativa é ampliar esse número para 1,5 milhão de toneladas, com a aquisição de mais barcaças e empurradores.

"O aporte realizado na Hidrovias do Brasil nos permitirá crescer rapidamente durante os próximos anos", afirma Felipe Pinto. Ele lembra que a empresa com foco no transporte hidroviário foi criada em 2010, com US$ 120 milhões da P2 Brasil. Em seguida, entraram Temasek e Aimco, que juntos aportaram US$ 100 milhões. Entre 2013 e 2014, houve um aumento de capital para US$ 366 milhões e agora mais US$ 300 milhões.
